These Terms and Conditions (“Terms”) govern your access to and use of CommexAfrica.com, operated by Commodity Exchange and Supply Chain Limited (CESCL) (“Commex Africa”, “we”, “us”, or “our”). By accessing or using the Platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
1. DEFINITIONS
- Platform: CommexAfrica.com and all related digital services.
- User: Any individual or entity accessing or using the Platform.
- Buyer: Any registered user purchasing commodities or services.
- Seller: Any registered user listing commodities or services for sale.
- Transaction: Any trade, purchase, sale, or service engagement conducted through the Platform.
- Verification Services: Paid services offered by Commex Africa to verify transactions, products, or parties.
- Third Parties: Independent logistics providers, inspectors, payment processors, or service partners.
2. PLATFORM SCOPE AND ROLE
Commex Africa operates as a B2B digital marketplace and supply-chain facilitation platform.
We:
- Facilitate connections between buyers and sellers
- Provide transaction support services
- Offer verification, quality control, data, and sourcing services
Commex Africa is not the owner of commodities traded on the Platform unless expressly stated in writing.
3. ELIGIBILITY AND REGISTRATION
- Users must be 18 years or older and legally capable of entering binding contracts.
- Businesses must provide accurate and verifiable registration details.
- Commex Africa reserves the right to:
- Approve, suspend, or reject any registration
- Request additional documentation at any time
4. USER OBLIGATIONS
All users agree to:
- Provide accurate and truthful information
- Conduct transactions ethically and lawfully
- Comply with applicable local, national, and international laws
- Not engage in fraud, misrepresentation, or deceptive practices
Users are solely responsible for:
- Their listings, communications, and transactions
- Ensuring product quality, legality, and compliance
5. SELLER OBLIGATIONS
Sellers must:
- Accurately describe commodities and pricing
- Deliver products as agreed
- Comply with quality and safety standards
- Pay applicable platform commissions and service fees
Commex Africa may suspend sellers for:
- Repeated disputes
- False listings
- Poor fulfillment performance
- Breach of these Terms
6. BUYER OBLIGATIONS
Buyers must:
- Make timely payments
- Review product details carefully
- Communicate disputes promptly
- Respect agreed transaction terms
7. FEES AND PAYMENTS
- Buyers may access the Platform free of charge.
- Sellers are subject to:
- Commission fees
- Advertisement fees
- Verification fees
- Sourcing and procurement fees
- Fees are non-refundable unless stated otherwise.
- Commex Africa may revise fees with notice.
8. VERIFICATION & QUALITY CONTROL SERVICES
- Verification and quality control services are optional but paid.
- Commex Africa does not guarantee absolute risk elimination.
- Verification outcomes are advisory and based on available data and third-party inputs.
9. LOGISTICS & THIRD-PARTY SERVICES
- Logistics, inspection, and payment services may be provided by third parties.
- Commex Africa is not liable for delays, losses, or failures caused by third parties.
- Users agree to third-party terms where applicable.
10. INTELLECTUAL PROPERTY
All content on CommexAfrica.com, including:
- Logos
- Trademarks
- Text
- Software
- Designs
are the exclusive property of Commodity Exchange and Supply Chain Limited and may not be used without written consent.
11. DATA & PRIVACY
User data is handled in accordance with our Privacy Policy.
By using the Platform, you consent to:
- Data collection
- Processing
- Storage for operational and legal purposes
12. DISCLAIMERS
- The Platform is provided “as is”.
- Commex Africa does not guarantee:
- Market prices
- Profitability
- Continuous platform availability
- Market risks remain with users.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- Commex Africa shall not be liable for indirect, incidental, or consequential losses.
- Total liability shall not exceed fees paid to Commex Africa within the preceding 12 months.
14. DISPUTE RESOLUTION
- Users should first attempt amicable resolution.
- Unresolved disputes shall be referred to mediation or arbitration in Nigeria.
- Nigerian law shall govern these Terms.
15. TERMINATION
Commex Africa may:
- Suspend or terminate accounts for violations
- Restrict access without prior notice in cases of fraud or risk
Users may terminate their accounts subject to settlement of obligations.
16. AMENDMENTS
Commex Africa reserves the right to update these Terms at any time.
Continued use of the Platform constitutes acceptance of revised Terms.
