This Seller Agreement (“Agreement”) is entered into between Commodity Exchange and Supply Chain Limited (CESCL), operating as Commex Africa, and the individual or business entity registering as a seller (“Seller”, “you”, or “your”) on CommexAfrica.com (“Platform”).

By registering, listing products, or transacting on the Platform, you agree to be legally bound by this Agreement.


1. PURPOSE OF AGREEMENT

This Agreement governs the terms under which Sellers may:

  • Engage buyers

Commex Africa operates solely as a facilitator and marketplace, not as the owner of Seller-listed commodities unless explicitly stated in writing.


2. SELLER ELIGIBILITY

To qualify as a Seller, you must:

  • Be legally registered or authorized to trade commodities

  • Provide accurate business and identity information

  • Comply with all applicable laws and regulations

Commex Africa reserves the right to approve, reject, suspend, or revoke Seller accounts at its discretion.


3. SELLER OBLIGATIONS

The Seller agrees to:

a. Product Listings

  • Provide accurate descriptions, pricing, quantity, and specifications

  • Ensure products meet quality, safety, and regulatory standards

  • Update listings promptly to reflect availability and changes

b. Order Fulfillment

  • Deliver commodities as agreed in quantity, quality, and timeline

  • Package and handle products appropriately

  • Communicate proactively with buyers

c. Compliance

  • Comply with Nigerian laws and applicable international trade regulations

  • Obtain all required licenses, permits, and certifications

  • Adhere to Commex Africa platform rules and policies


4. FEES, COMMISSIONS & PAYMENTS

  1. Sellers agree to pay:

    • Platform commission on completed transactions

7. PROHIBITED ACTIVITIES

Sellers shall not:

  • Solicit buyers off-platform to avoid commissions

  • Upload false documents or impersonate another entity

8. INTELLECTUAL PROPERTY

  • Sellers grant Commex Africa a non-exclusive right to use product images, descriptions, and trademarks solely for platform operations and marketing.

  • Sellers warrant that they own or have rights to all uploaded content.


9. DATA & CONFIDENTIALITY

10. DISPUTE MANAGEMENT

11. SUSPENSION & TERMINATION
